1. Kuro and your organisation
These terms describe the service supplied by Kuro RMS Pty Ltd, based in Victoria, Australia (“Kuro”, “we” or “us”). They cover the Kuro website, web workspace and mobile app. Contact support@kurorms.com with questions.
The subscribing organisation is the customer. A person establishing or managing a company workspace must have authority to act for that organisation. Users must follow these terms and their organisation’s lawful instructions.
These are draft terms for review. Browsing this preview does not create a paid subscription. The adopted terms and the subscription confirmation must be made available before a customer agrees to the service. A separately agreed written service agreement may add specific terms; mandatory legal rights still apply.
2. Accounts and access
Give us accurate account and billing information and keep it current. Your organisation controls invitations, roles and access to its workspace, and is responsible for removing access when it is no longer appropriate.
Each user needs their own licence and sign-in. Keep credentials secure and notify us promptly about suspected misuse. A user licence includes one simultaneous web session and one simultaneous mobile session; it is not a shared login for multiple people.
We grant licensed users access to the service for their organisation’s internal business operations, subject to the subscription and these terms. That access does not transfer ownership of Kuro’s software or brand.
3. Trial, prices and storage
The proposed offer is a 14-day trial with no credit card required. Moving to a paid subscription requires an express agreement to the paid offer. A trial is not permission to make undisclosed charges at its end.
Monthly prices are A$50 AUD, US$35 USD or €30 EUR per user, including tax. These are separately set currency prices, not live exchange-rate conversions. The price is for Kuro’s included features; there is no separate Kuro feature charge.
Each user adds 5 GB to the organisation’s pooled storage allowance. Additional storage arrangements, if offered, must be agreed separately before a charge is made.
Your subscription confirmation must identify the currency, licensed-user basis, billing cycle and how changes in user numbers affect charges. Website estimates are illustrations rather than a payment instruction. Do not subscribe through conflicting registration terms without clarifying the applicable offer with us.
4. Billing, renewal, cancellation and refunds
The agreed subscription is billed monthly. Before paid billing begins, the subscription confirmation must explain any recurring renewal, payment arrangements, and the effective dates for user changes or cancellation. We do not authorise an additional charge merely by displaying a calculator or draft policy.
Cancellation
An authorised representative of your organisation can request cancellation at any time by emailing support@kurorms.com. We will process the request promptly and confirm completion in writing. A request alone is not confirmation that the subscription has closed; contact us if you have not received confirmation.
Once confirmed, cancellation takes effect immediately: the subscription and workspace access end, and no further subscription renewals will be charged. Retrieve any records you need before cancellation. Outstanding charges for service already supplied remain payable, subject to applicable legal rights. The data-retention rule in section 10 applies after the subscription ends.
Refunds
Except where a refund or other remedy is required by applicable law, paid subscription fees are non-refundable. This includes changing your mind, subscribing by mistake, forgetting to cancel before renewal, not using the service, or cancelling during a paid month. Unused paid time does not receive a partial refund or credit.
If you believe a charge is incorrect or that you are entitled to a refund or other remedy, email support@kurorms.com with the account and charge details so we can investigate. Nothing in this policy limits your rights under the Australian Consumer Law or another applicable mandatory law, including remedies for a service that fails to meet applicable consumer guarantees.
If a payment fails, we will communicate the issue and any proposed restriction of access. We will give a reasonable opportunity to resolve it where practical. Necessary immediate action to protect the service or comply with law is addressed below.
Nothing in these terms removes a refund, cancellation or other remedy required by applicable law, including the Australian Consumer Law where it applies.
5. Your records and permitted use
Your organisation retains its rights in the records and files it supplies. It gives Kuro the permission needed to host, process, transmit and display those records to provide the service, handle authorised support requests, protect the service and meet applicable obligations. This is not a transfer of ownership or a general licence to sell your content.
You must have authority to upload and use the information you supply, including personal information about staff, clients and contractors. Keep records accurate and follow any applicable notice, consent, recordkeeping and privacy requirements.
Do not use Kuro to:
- upload unlawful content, malware or information you are not authorised to use;
- access another organisation’s records without permission or bypass access controls;
- share user licences in a way that misrepresents the number of users;
- interfere with the service, attempt unauthorised security testing, or place an unreasonable load on it;
- misrepresent your identity or use location features for unlawful monitoring.
You can report a security concern through support. Authorised security testing must have an agreed scope before it begins.
6. Shared updates and vehicle tracking
Kuro supports shared information and realtime updates in supported workflows across web and mobile. Update timing depends on connectivity, devices, permissions and service conditions. Confirm operational information when accuracy is important; no fixed refresh interval is promised.
Vehicle visibility uses location reported from a mobile device during an active tracked job. It does not provide continuous hardware-based tracking of every vehicle or guarantee an arrival time. The subscribing organisation is responsible for lawful use of driver/worker tracking, including required notices and permissions.
Kuro is not an emergency response or safety monitoring service. Do not rely on its location view as the sole source for an emergency or a decision requiring independently verified positioning.
7. Providers, integrations and assisted features
Some functions depend on external providers, devices, app stores or integrations. Use of a connected service may require its own account, permissions and terms. We will identify separately chargeable arrangements before asking you to agree to them.
Where an AI-assisted feature is available, its suggestions can be incomplete or incorrect. Review them before applying them to your work. A suggestion does not replace your judgement about equipment, costs or operational requirements.
Our privacy policy describes information handling, including cloud services, usage reporting, location and supported integrations. These terms do not mean that every provider or optional feature is included in every release.
8. Service changes and support
We take reasonable steps to operate and maintain Kuro, but maintenance, faults and external service conditions can interrupt access. No particular uptime or response-time service level is included unless agreed separately in writing. Applicable statutory guarantees are unaffected.
We may improve or change the service. We will give reasonable notice of a material change that adversely affects your subscribed service, where practical, and discuss available options. We will give notice before a new subscription price takes effect; price changes do not retrospectively alter an already agreed charge.
Contact support for assistance. These terms do not promise 24-hour support, an on-site service, or a particular resolution deadline.
9. Suspension and ending access
We may restrict access where reasonably necessary to address a material breach, non-payment, a security threat or a legal requirement. Where practical, we will explain the reason and give an opportunity to resolve it. Immediate action may be necessary to prevent harm or comply with law. Restrictions should be proportionate to the issue.
Either party may seek to end the service where a material breach is not remedied after a reasonable opportunity, or where continued supply would be unlawful. Customer cancellation and any refunds are dealt with under the agreed offer and applicable law. We will discuss access to records and the effect on paid service where practical.
10. Data after a demo or subscription ends
Free demo workspace data will be deleted 60 days after the demo ends if the organisation has never activated a paid subscription. Activating a paid subscription before deletion ends the demo-only retention rule.
Workspace data for organisations that previously activated a paid subscription will be deleted after 12 consecutive months of subscription inactivity. The period begins when the paid subscription has ended and no active subscription remains. An active subscriber’s lack of logins does not start the period. Reactivation interrupts the period.
This includes the inactive workspace’s records, files and location history. Retention is not a promise of free access, a recovery service or indefinite backups. Ask us about retrieving your records before ending access and keep independent copies of records you need for your business.
Information that must be retained for legal, accounting or dispute-related purposes may be kept separately for the required period. See the privacy policy for personal-information requests. Deletion of a workspace does not change outstanding payment obligations or remove rights required by law.
11. Confidentiality and intellectual property
Each party should protect the other’s non-public information received in connection with the service and use it only for the agreed purposes. Necessary disclosures to authorised personnel, service providers or advisers must be appropriate to that purpose. Disclosure required by law is permitted, with notice where lawful and practical.
Kuro and its licensors retain rights in the service, software, documentation and brand. Your organisation retains rights in its own content. Giving feedback does not transfer ownership of confidential customer records.
12. Responsibility and legal rights
Each party is responsible for its own conduct and obligations. We do not exclude guarantees, remedies or liabilities that cannot lawfully be excluded, and we do not require you to waive rights under the Australian Consumer Law or another applicable mandatory law.
We do not impose an unlimited customer indemnity or a general waiver of responsibility for our own service failures in these draft terms. Any separately negotiated limitation must be lawful, clear and appropriate to the agreement.
13. Questions, disputes and changes to these terms
Start by contacting support@kurorms.com with the issue and the outcome you seek. We will work with you to understand it and seek a practical resolution. This does not prevent either party seeking urgent relief or exercising a statutory right.
These terms are intended to be governed by the laws of Victoria, Australia. This choice does not remove mandatory rights or a forum available under laws that apply to you. The final agreement should be reviewed for the jurisdictions in which Kuro will be supplied.
We will publish changes with an updated date and give appropriate notice of material changes. A change does not retrospectively remove an accrued right or authorise an undisclosed charge. Before materially different terms apply to continued paid service, customers should be given a clear explanation and an opportunity to decide whether to continue.
